Terms of Service

Skillbase is in Early Access. This document is provided in good faith to describe our current practices and will be updated as the platform, and applicable law, evolve.

These Terms of Service ("Terms") form a binding agreement between you and [LEGAL ENTITY NAME] ("Skillbase," "we," "us," or "our") governing your access to and use of the Skillbase website, dashboard, Discord bot, and related services (together, the "Service"). By creating an account, connecting a Discord server, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Who We Are

Skillbase is a modular operational platform for gaming communities — clans, guilds, roleplay servers, competitive teams, and similar organizations (each, an "Organization"). Skillbase integrates with Discord to add structured member management, recruitment, events, permissions, documentation, and related tools on top of a community's existing Discord server.

Skillbase is an independent product and is not operated, sponsored, endorsed, or affiliated with Discord Inc. "Discord" and the Discord logo are trademarks of Discord Inc. Your use of Discord itself remains governed entirely by Discord's own Terms of Service and Community Guidelines.

2. Eligibility

You must be at least 13 years old to use the Service, and you must meet the minimum age required to use Discord in your country. If the laws that apply to you require a higher minimum age for using online services or for providing consent to data processing (for example, 16 in some European jurisdictions), you must meet that higher age instead.

By using the Service, you represent that you meet these requirements and that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of an Organization, you represent that you are authorized to bind that Organization to these Terms.

We do not knowingly allow anyone under the required minimum age to create an account. If we learn that we have collected personal data from someone below that age, we will delete it and may disable the associated account. See our Privacy Policy for how to report this.

3. Accounts and Discord Authentication

Skillbase does not have its own password system. You sign in exclusively through Discord OAuth. When you sign in, Discord shares limited information with us (such as your Discord user ID, username, avatar, email address, and the list of servers you administer) so that we can create your Skillbase user profile and determine which Organizations you can access. See our Privacy Policy for the full list of data we request and why.

You are responsible for maintaining the security of your Discord account, since anyone with access to it can access your connected Skillbase account. Notify us immediately at [CONTACT EMAIL] if you suspect unauthorized access.

4. Organizations, Roles, and Tenancy

Skillbase is multi-tenant: every Organization's members, roles, permissions, applications, events, documents, and other records are isolated from every other Organization. When you create or join an Organization, you are assigned one or more roles that determine what you can see and do, configured by that Organization's administrators ("Organization Admins").

If you administer an Organization, you are independently responsible for the data you and your staff input into Skillbase about your members, recruits, and applicants ("Organization Content") — including making sure you have a lawful basis to collect it, that it is accurate, and that you respond appropriately to requests from the people it describes (for example, a member asking you to correct or delete their information). Skillbase acts as a processor/service provider with respect to Organization Content that Organization Admins choose to store on the platform; Skillbase does not control what Organization Admins choose to record about their members.

Organization Admins can configure permissions, remove members, and delete Organization Content through the dashboard. Skillbase logs administrative actions (role changes, permission changes, member removals, configuration changes) in an audit trail for accountability, as described in our Privacy Policy.

5. Acceptable Use

You agree not to, and not to permit any Organization member to, through the Service:

  • Violate Discord's Terms of Service, Community Guidelines, or Developer Policy, or use Skillbase's Discord integration to do anything that would violate those policies (for example, spamming, mass-mentioning, or evading a Discord-imposed restriction);
  • Upload, post, or transmit content that is unlawful, harassing, defamatory, hateful, sexually exploitative of minors, or that infringes someone else's intellectual property or privacy rights;
  • Attempt to gain unauthorized access to another Organization's data, another user's account, or any part of the Service's infrastructure;
  • Scrape, mine, or bulk-extract data from the Service, or use automated means to interact with it outside of the features we provide;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except where applicable law gives you the right to do so despite this restriction;
  • Use the Service to build a directly competing product using data obtained through the Service;
  • Interfere with or disrupt the integrity or performance of the Service, including through malware, denial-of-service attempts, or credential stuffing;
  • Use the Service to process another person's personal data in violation of applicable privacy law.

We may investigate suspected violations and may remove content, suspend features, or suspend or terminate accounts and Organizations that violate this section, with or without notice, as described in Section 12.

6. User Content and License

Certain Skillbase modules let you or your Organization upload or create content — for example, VOD review clips and comments, documents, forms, announcements, and message templates ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant Skillbase a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate, secure, and support the Service for you and your Organization (for example, rendering a VOD clip in the review interface, or syncing a document to Discord). This license ends when the content is deleted, subject to our backup and legal-retention practices described in the Privacy Policy.

You are solely responsible for your User Content and for having the rights necessary to upload it (including rights to any game footage, audio, or third-party material embedded in it). We do not pre-screen User Content but may remove it if we become aware it violates these Terms or the law.

Copyright complaints. If you believe content on Skillbase infringes your copyright, send a notice to [CONTACT EMAIL] with: (1) identification of the copyrighted work, (2) identification of the material you claim is infringing and its location on the Service, (3) your contact information, (4) a statement that you have a good-faith belief the use is not authorized, and (5) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act. We will respond in accordance with applicable copyright law, including removing or disabling access to material as appropriate.

7. Discord Integration and Third-Party Services

The Service depends on the availability of Discord's API and infrastructure, which we do not control. Discord may change, restrict, rate-limit, or discontinue API access, privileged intents, or features that Skillbase relies on at any time, which may affect or interrupt parts of the Service. We are not responsible for outages, data loss, or feature limitations caused by Discord or any other third-party service we integrate with.

If you remove the Skillbase bot from your Discord server, revoke Discord OAuth access, or Discord itself restricts our application, some or all Skillbase features for your Organization may stop working until access is restored.

8. Fees and Early Access

Skillbase is currently offered free of charge during our Early Access period. Features, availability, and limits may change, and we may introduce paid plans in the future. If we do, we will provide advance notice and present applicable pricing and payment terms before you are charged; separate billing terms will govern paid subscriptions once introduced.

Because the Service is in active development, features may be added, changed, or removed, and we do not guarantee any specific level of availability or uptime during Early Access. See Section 11.

9. Our Intellectual Property

The Service, including its software, design, branding, and documentation (excluding User Content and Organization Content), is owned by [LEGAL ENTITY NAME] and its licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your Organization's internal operations, subject to these Terms. All rights not expressly granted are reserved.

10. Suspension and Termination

You may stop using the Service and disconnect your Discord account at any time. An Organization Admin may delete their Organization from the dashboard, which schedules the Organization's data for deletion in accordance with our retention practices described in the Privacy Policy; some records may be retained longer where we have a legal or audit obligation to do so, or preserved in soft-deleted form before permanent removal.

We may suspend or terminate your access to the Service, or an entire Organization's access, if: (a) you violate these Terms or applicable law; (b) we reasonably believe doing so is necessary to comply with Discord's Developer Policy or a request from Discord; (c) required by law or court order; or (d) we discontinue the Service, in which case we will provide reasonable notice where possible.

Sections that by their nature should survive termination (including Sections 6, 9, 11, 12, 13, and 14) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT ANY SPECIFIC LEVEL OF UPTIME OR AVAILABILITY, PARTICULARLY DURING EARLY ACCESS. WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, CONTENT, OR CONDUCT OF DISCORD OR ANY OTHER THIRD-PARTY SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [LEGAL ENTITY NAME] AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless [LEGAL ENTITY NAME] from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your Organization Content or User Content; (b) your violation of these Terms or applicable law; or (c) your violation of Discord's Terms of Service, Community Guidelines, or Developer Policy through your use of the Service.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer-protection law in your country of residence provides otherwise.

Before filing a claim, you agree to contact us at [CONTACT EMAIL] and attempt to resolve the dispute informally and in good faith for at least 30 days. If we can't resolve it informally, either party may bring the dispute in the state or federal courts located in Delaware, USA, and both parties consent to personal jurisdiction there, unless applicable law entitles you to bring the claim in your local courts instead.

15. Changes to These Terms

We may update these Terms as the Service evolves and as legal requirements change. If we make material changes, we will update the "Last updated" date and provide reasonable notice (for example, through the dashboard or by email) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. General Terms

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, and will provide notice where required by law.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on this subject.
